By using XCommerce.ai, you acknowledge that you have read, understood and agreed to these Terms & Conditions, our Privacy Policy, Shipping & Delivery Policy and Refund Policy.

XCommerce is a technology marketplace that enables businesses to discover, evaluate, procure, and manage:

• Software & SaaS Licenses
• Cloud Services
• Enterprise Hardware
• Cybersecurity Solutions
• Managed Services
• Technology Consulting Services

Products and services may be delivered directly by XCommerce, ConsultEdge Global, OEM partners, distributors, or authorized service providers.

To use XCommerce, you must:

• Be at least 18 years old.
• Have authority to act on behalf of your organization.
• Provide accurate registration and company information.
• Comply with all applicable laws and regulations.

Users may be required to create an account. You are responsible for:

• Maintaining account confidentiality.
• Protecting login credentials.
• All activities conducted through your account.

XCommerce reserves the right to suspend or terminate accounts that provide false information or violate these Terms.

• Product availability may change without prior notice.
• Descriptions, specifications, pricing, and availability are subject to modification based on OEM updates, market conditions, and licensing requirements.
• Certain products may require separate agreements with OEMs or software publishers.

All pricing displayed on the platform is subject to change without prior notice. Unless stated otherwise:

• Prices exclude applicable taxes.
• GST and statutory charges will be added as required.
• Payment terms may vary depending on customer agreements.
• Failure to complete payment may result in cancellation or service suspension.

Software products sold through XCommerce are governed by the licensing terms of the respective OEM. Customers agree to:

• Use software only in accordance with applicable licensing agreements.
• Not transfer, duplicate, or misuse software licenses.
• Comply with all OEM licensing requirements.

Activated software licenses are generally non-refundable.

Cloud subscriptions including AWS, Microsoft Azure, and other providers are subject to the provider's service terms and availability.

XCommerce acts as a procurement and enablement partner and does not guarantee uninterrupted cloud service availability.

Hardware delivery timelines may vary based on:

• OEM availability
• Supply chain conditions
• Import requirements
• Logistics constraints

Warranty obligations remain governed by the respective OEM's warranty policies.

Managed services including SOC, NOC, Cloud Operations, and Technical Support are delivered according to agreed service scopes and service level agreements (SLAs).

Specific service commitments will be defined in customer contracts or statements of work.

All content, trademarks, logos, graphics, software, and materials displayed on XCommerce.ai remain the property of XCommerce, ConsultEdge Global, OEM partners, or respective licensors.

No content may be copied, reproduced, distributed, or modified without written permission.

Users agree not to:

• Violate any laws or regulations.
• Upload malicious software or harmful code.
• Attempt unauthorized access to systems.
• Misrepresent company information.
• Use the platform for fraudulent activities.

Many offerings available through XCommerce are provided by third-party OEMs and service providers. XCommerce does not guarantee:

• Product availability
• OEM support timelines
• Third-party service performance

Customers may be subject to additional OEM agreements and policies.

Users agree to indemnify and hold harmless XCommerce, ConsultEdge Global, employees, partners, and affiliates against claims arising from misuse of the platform or violation of these Terms.

Both parties agree to maintain confidentiality regarding non-public business, technical, commercial, and customer information shared during engagement.

XCommerce may suspend or terminate access without notice if:

• Terms are violated
• Fraudulent activity is detected
• Payment obligations remain outstanding

XCommerce reserves the right to update these Terms & Conditions at any time. Continued use of the platform constitutes acceptance of revised Terms.
